    Scope and Parties

    These Terms are entered between you and Qingwave (together, 'we' or 'us') and govern your use of products operated under the Qingwave brand: Qingwave Studio (AI manga and motion-comic generation), Qingwave API (an AI model gateway), the unified account, wallet, and referral systems built on top, and any future third-party products that integrate via Qingwave OAuth. By registering or using the service you confirm that you have read, understood, and agreed to these Terms in full. If you do not agree, please do not register or use the service.

    Account Eligibility

    You must be at least 16 to register. Users aged 16 to under 18 may use paid features, withdraw funds, and participate in the referral program only with guardian consent. Account types: personal account, team-owner account, team-member account. Team owners are responsible for the conduct of their team members. Team-member accounts are automatically attributed to their team owner under the referral program. You must provide accurate registration information. Forged identities, impersonation, or operating multiple accounts to game referral rewards may result in suspension or termination. You are responsible for safeguarding your account password and API keys; losses caused by your own negligence are your responsibility.

    Acceptable Use

    You may not use Qingwave for any of the following: Activity that violates the laws and regulations of the People's Republic of China, including (without limitation) the Criminal Law, Public Security Administration Punishments Law, Cybersecurity Law, Data Security Law, and Personal Information Protection Law. Under the Provisions on Ecological Governance of Network Information Content and the Interim Measures for Generative AI Service Management, you may not generate or disseminate content that endangers national security, incites subversion, promotes terrorism, ethnic hatred, obscenity, graphic violence, disinformation, or content that infringes the lawful rights of others. You may not generate face-swap or voice-clone deepfakes targeting real individuals without their explicit consent. You may not generate, upload, or distribute child sexual abuse material (CSAM). Violations result in immediate suspension and referral to public-security authorities. You may not abuse the API: artificial inflation of usage, automated rate-limit evasion, reselling Qingwave API as a transparent proxy, or attacking or fuzzing Qingwave systems (unless covered by a separate security-testing agreement).

    Payments, Subscriptions, and Refunds

    Top-ups and metering: you can fund the master wallet via Alipay and other supported channels. Generation jobs and API calls are metered against the relevant per-product business sub-wallet (denominated in RMB) as they happen. You can review billing records in your account. Subscriptions and plans: rollover or expiration of unused plan quota follows the rules shown at purchase. Refunds: under the Consumer Rights Protection Law and the E-Commerce Law, consumed credits (which correspond to compute and upstream costs already incurred) are non-refundable. Unused balance in the master wallet is refundable to the original payment method; processing time is described in the billing help center. Affiliate payouts: minimum withdrawal is 10 USD, reviewed within 1–3 business days. Withdrawals support Alipay (settled into RMB at the day's rate) or staying in the master wallet. Personal income tax on commission income is the recipient's own responsibility; we provide payout records but do not withhold tax. Disputes: if you disagree with a charge or refund decision, contact legal@qingboai.com within 30 days.

    User-Uploaded Content

    You retain ownership of the scripts, prompts, reference images, and other content you upload (your 'User Content'). To provide the service, you grant Qingwave a non-exclusive license to use, copy, transmit, store, and forward User Content to upstream model providers, strictly to the extent needed to operate the service. The license terminates when you delete the content or your account, except for backups already transmitted to upstream providers or required for compliance retention. You represent that you have the rights necessary to upload your User Content. If you upload third-party copyrighted material (such as a manga script or original work) you must secure the necessary rights yourself; you bear any disputes that result. We do not pre-screen User Content but reserve the right to remove content and suspend accounts upon valid rights-holder notice or upon discovery of violations.

    AI-Generated Content: Ownership and Liability

    Ownership: subject to these Terms, the upstream provider's terms, and applicable law, you may use the images, videos, and text generated through the service ('Generated Content'). Qingwave does not claim ownership. Note that the copyright status of AI-generated content under current PRC judicial practice is unsettled; we cannot guarantee that Generated Content qualifies for copyright protection. Labeling obligations: under the Interim Measures for Generative AI Service Management, when you publicly distribute Generated Content you must add a conspicuous label (such as 'AI-generated') as the regulation requires. We provide metadata and watermarking tools to help you comply. Infringement liability: you are responsible for ensuring Generated Content does not infringe third-party copyright, likeness, reputation, or other rights. If a third party brings a claim against us regarding your Generated Content, you agree to cooperate and bear ultimate responsibility. Notice and takedown: rights holders may submit infringement notices to legal@qingboai.com (modeled on DMCA but governed by PRC law). The notice must include proof of the right, the location of the disputed content, and an attestation of accuracy. After verification we will remove the content within a reasonable period and notify the uploader. The uploader may submit a counter-notice within a reasonable period.

    Qingwave Intellectual Property

    The Qingwave brand, logos, website UI, client code, documentation, API design, and billing system are owned by Qingwave or our licensors, and are protected by copyright, trademark, and unfair-competition law. Without written permission you may not copy, adapt, reverse-engineer, use to train third-party AI models, or wholesale resell the Qingwave API. If you believe Qingwave has infringed your intellectual property, contact legal@qingboai.com.

    Service Availability

    We use commercially reasonable efforts to keep the service running, but we make no availability commitments for free tiers. Paid customers: we target the availability levels described in the product pricing table or in your enterprise agreement. Exclusions: planned maintenance announced in advance, force majeure, outages of upstream AI model providers or infrastructure providers, your own network issues, and regulator-mandated suspensions are excluded from availability calculations.

    Disclaimers

    Accuracy of Generated Content: large language models and generative AI may produce inaccurate, outdated, or fabricated output. Do not rely on Generated Content as the sole basis for professional decisions (medical, legal, financial, mental-health, etc.). Upstream variability: Qingwave API aggregates many upstream providers. Their capabilities, safety policies, rate limits, and billing logic differ and change as their policies evolve. We track and surface these changes to the best of our ability but are not responsible for upstream changes. 'As-is': except where mandatorily required by law, we disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

    Limitation of Liability

    To the maximum extent permitted by law, Qingwave and its affiliates are not liable to you or any third party for any indirect, incidental, special, punitive, or consequential damages (including lost profits, lost goodwill, or lost data) arising from your use or inability to use the service. Qingwave's total cumulative liability under these Terms is capped at the fees you actually paid to Qingwave in the 12 months preceding the event giving rise to the claim, or RMB 1,000 if you paid nothing in that period. This section does not limit liability that cannot be excluded by mandatory law (such as personal injury caused by intent or gross negligence).

    Suspension and Termination

    Your right to terminate: you may delete your account at any time from account settings. Deletion enters a grace period during which you can recover; after that, the account and personal data are deleted or anonymized (subject to legal retention). Our right to terminate: we may suspend or terminate your account if you materially breach these Terms (especially Section 3 prohibited uses), are in long-term arrears, or if law requires it. Ordinarily we will give written notice and a reasonable cure period; in urgent cases (illegal content, severe security risk) we may act first and notify afterwards. Effect of termination: unused master-wallet balance is handled per Section 4; unsettled affiliate commissions are settled per the rules in effect; consumed fees are not refunded; the disclaimers, liability cap, IP terms, and dispute-resolution clauses survive termination.

    Governing Law and Dispute Resolution

    These Terms are governed by the laws of mainland China (excluding conflict-of-laws rules of Hong Kong, Macau, and Taiwan). For any dispute arising out of these Terms or the service, the parties shall first attempt to resolve it through negotiation. If negotiation fails, either party may bring the dispute before a competent People's Court.

    Changes to These Terms and Contact

    We may revise these Terms from time to time. Material changes will be announced reasonably in advance via in-product notification or email; non-material changes take effect when this page is updated. If you do not accept a change, you may stop using the service and delete your account before it takes effect. Continuing to use the service after the change takes effect constitutes acceptance.
